1. Introduction

These Terms and Conditions (“Terms”) govern your use of the website of Austin Packaging (“Company”, “we”, “us”, or “our”) and any online services, content, tools, or features made available through it (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.​

If you enter into a separate written agreement with us for printing and packaging services, that agreement will prevail over these Terms to the extent of any inconsistency.​

2. Use of the Site

  • You agree to use the Site only for lawful purposes and in accordance with these Terms.

  • You must not attempt to interfere with the security, functionality, or integrity of the Site or any related systems.

  • You are responsible for ensuring that all persons accessing the Site through your internet connection are aware of these Terms and comply with them.​

We reserve the right to modify, suspend, or discontinue any part of the Site at any time without notice.​

3. Information on the Site

The content on the Site is provided for general information about our printing and packaging products and services. While reasonable efforts are made to keep the information accurate and up to date, we do not guarantee that the Site or any content on it will always be complete, accurate, or current.​

Any specifications, images, samples, or descriptions of products on the Site are indicative and may be subject to technical or commercial tolerances common in the printing and packaging industry.​

4. Quotes, Orders and Contracts

  • Submitting an enquiry or quote request through the Site does not create a binding contract. A binding contract arises only when we issue a written order confirmation or execute a formal agreement with you.​

  • Prices, quantities, lead times, and technical specifications will be confirmed in writing as part of our quotation or order confirmation. Until then, all information is non‑binding and subject to change.​

  • You are responsible for providing accurate and complete information (including technical requirements, material preferences, artwork, and delivery details) when requesting a quote or placing an order.​

Special tolerances, performance requirements, or “critical” colour expectations must be communicated and agreed in writing in advance; otherwise standard industry tolerances will apply.​

5. Artwork, Content and Intellectual Property

When you supply artwork, logos, designs, text or any other content (“Customer Content”) for use in your packaging or printed materials:

  • You represent and warrant that you own all rights to the Customer Content or have obtained all necessary permissions, licenses, and approvals from the rights holders.​

  • You agree that the Customer Content does not infringe any copyright, trademark, design right, moral right, privacy right, or any other rights of third parties.​

  • You grant us a non‑exclusive, worldwide, royalty‑free license to use, reproduce, modify, and display the Customer Content solely for the purpose of fulfilling your orders and maintaining internal records.​

You are fully responsible for the legality and appropriateness of Customer Content. We may refuse to work with any content that is unlawful, offensive, or otherwise objectionable in our reasonable opinion.​

All intellectual property rights in our Site, templates, structural designs, pre‑press work, production methods, and other materials we create (other than Customer Content) remain our exclusive property or that of our licensors.​

6. Proofs, Colours and Tolerances

We may provide digital or physical proofs for your review before proceeding to full production:

  • You are responsible for carefully reviewing and approving proofs for content, layout, and colour before final sign‑off.​

  • Once you approve the proof, we will proceed with production, and subsequent changes may not be possible or may incur additional costs and delays.​

  • Reasonable deviations in colour, material thickness, dimensions and finishing can occur due to the printing process, substrate characteristics, and technical tolerances; such minor deviations are not considered defects if they do not impair normal use of the products.​

If your order is colour‑critical or subject to special performance standards, you must specify this in writing and agree appropriate proofing and testing procedures with us in advance.​

7. Pricing, Payment and Taxes

  • Prices are generally quoted in the currency stated in our quotation or order confirmation and are exclusive of applicable taxes, duties, and charges unless expressly stated otherwise.​

  • Payment terms, due dates, and accepted methods of payment will be specified in the quotation or invoice. If no terms are specified, invoices are payable upon receipt.​

  • Late payments may attract interest, penalties, suspension of further deliveries, or other remedies permitted by law or contract.​

You are responsible for all applicable taxes, duties, customs, and similar charges related to your order, except where otherwise required by law.​

8. Delivery, Risk and Title

  • Delivery terms (including Incoterms, if applicable), estimated delivery dates, and delivery charges will be agreed in writing as part of each order.​

  • Delivery dates are indicative and may be affected by factors such as material availability, approvals, force majeure events, or delays in receiving your artwork or instructions.​

  • Risk of loss or damage to the goods generally passes to you on delivery in accordance with the agreed delivery terms; title to the goods may remain with us until full payment is received, depending on applicable law and contractual terms.​

We are not responsible for delays caused by events beyond our reasonable control (including but not limited to strikes, equipment failure, power outages, transport disruptions, natural disasters, or supplier issues), but we will take reasonable steps to mitigate their effects.​

9. Inspection, Claims and Returns

  • You must inspect the delivered goods as soon as reasonably possible after receipt and notify us promptly of any visible defects, shortages, or discrepancies.​

  • Any claims relating to quality, quantity, or defects must be made within a reasonable period specified in our order terms; failure to notify us within that period may be deemed acceptance of the goods.​

  • Returns or reworks are subject to our prior written approval and applicable return procedures. We may request samples, photos, or documentation to evaluate any claim.​

Our liability in the event of justified claims is typically limited to repair, replacement, or credit note, at our discretion, and subject to the limitations set out below.​

10. Warranties and Disclaimers

Except as expressly stated in a written agreement or order confirmation:

  • We warrant that goods will substantially conform to the mutually agreed specifications and be manufactured using reasonable care and skill consistent with industry standards.​

  • All other warranties, whether express or implied (including implied warranties of merchantability, fitness for a particular purpose, or non‑infringement) are disclaimed to the maximum extent permitted by law.​

Advice, recommendations, or technical information provided through the Site are general in nature and do not constitute a guarantee of performance for your specific application.​

11. Limitation of Liability

To the fullest extent permitted by applicable law:

  • We shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including loss of profit, loss of business, loss of data, or loss of goodwill arising from or in connection with the Site or any contract for goods or services.​

12. Indemnity

You agree to indemnify, defend, and hold harmless Austin Packaging and its directors, officers, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Site in violation of these Terms or applicable law

  • Any breach of your representations and warranties (including with respect to Customer Content)

  • Any claim that Customer Content or products made according to your instructions infringe the rights of a third party.​

13. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Site, you consent to the processing of your information as described in the Privacy Policy.​

14. Termination and Suspension

We may, at our discretion and without prior notice, restrict, suspend, or terminate your access to the Site if:

  • You materially breach these Terms

  • Your use poses a security or operational risk

  • We are required to do so by law or regulatory authority.​

Termination of access to the Site does not affect any pre‑existing contractual obligations between you and us relating to orders, payments, or deliveries.​
